OFFCHEX PROMOTION OFFICIAL RULES

Your participation in this Promotion constitutes your acceptance of these Official Rules.

NO PURCHASE IS NECESSARY TO PARTICIPATE IN THIS PROMOTION.

1. SPONSOR: This OffChex Promotion (“Promotion”) is sponsored by OffChex, Inc, 222 W Merchandise Mart Plaza, 12th Floor, Chicago, IL 60654 (“Sponsor”).

 

1. WHO IS ELIGIBLE: The Promotion is open to any business organization domiciled within the United States (each, a “Participant”). No affiliates or subsidiaries of Sponsor are eligible to participate.  This Promotion is void where prohibited by law. Limit twenty (10) Referrals (defined below) per Participant during the Promotion Period (defined below). Referral Forms (defined below) that are incomplete, illegible, corrupted, false, lost, late or misdirected, deceptive, or otherwise not in compliance with these Official Rules may be disqualified from the Promotion at the Sponsor’s sole and absolute discretion. Any dispute regarding the identity of the Participant that actually submitted a Referral Form will be determined by Sponsor in its sole discretion. Illegible and/or incomplete Referral Forms submitted by Participants that do not meet the eligibility requirements are void.

 

1. PROMOTION PERIOD: The Promotion period will commence on February 16, 2024 at 12:00 a.m. Central Standard Time and expire at 11:59:59 p.m. Central Standard Time on April 15, 2024 (“Promotion Period”).

 

1. HOW TO PARTICIPATE: Participant may submit up to ten (10) Referrals to Sponsor during the Promotion Period by completing the form located on Sponsors website and including the code OFFCHEX25 (the “Referral Form”).  A “Referral” is defined as a business entity located in the United States that is currently sending paper checks to business vendors or customers (non-payroll).  Sponsor will treat such Referrals as prospective leads and may or may not use Participant’s organization name in sales discussions with the Referral. Referrals received from any Participant in excess of the stated limitation will be void. Participant represents, warrants and covenants that it has all rights, permissions and approvals necessary in connection with the provision of such Referral information to Sponsor. 

 

1. REFERRAL FEE: Participant will be eligible to receive a referral fee equal to US$25.00 for each eligible Referral received from Participant during the Promotion Period (“Referral Fee”). All Referral Fees will be paid to Participant in one or more payments via ACH to the business bank account of the Participant within 10 days after the end of the Promotion Period. The Participant may be required, as needed, to execute and return an affidavit of acceptance, eligibility, liability and publicity release (where legal) as well as a W-9 form. Participant will be responsible for any federal, state, and/or local taxes imposed as a result of acceptance of the Referral Fee. By accepting the Referral Fee – except where legally prohibited – Participant grants permission for Sponsor and its designees to use Participant’s organization name in sales discussions with Referrals submitted by Participant, without notice or review or approval.

 

1. BINDING AGREEMENT: In order to participate in the Promotion, Participant must agree to these Official Rules (“Official Rules”). Because these Official Rules form a legally binding agreement with respect to the Promotion, please read them carefully. If Participant does not agree to the Official Rules, Participant is not eligible to participate in the Promotion or to earn a Referral Fee. Each Participant agrees that their completion of one or more Referral Forms constitutes their agreement to these Official Rules. If an individual agrees to these Official Rules on behalf of a legal entity, such individual represents that the individual has the legal authority to bind such entity. Failure to comply with these Official Rules may result in disqualification from the Promotion. Sponsor reserves the right to permanently disqualify from the Promotion any Participant it believes has violated these Official Rules.

 

1. GENERAL CONDITIONS: In the event that the operation, security, or administration of the Promotion are impaired in any way for any reason, including, but not limited to fraud, virus, or other technical problem, Sponsor may, in its sole discretion, either: (a) suspend the Promotion to address the impairment and then resume the Promotion in a manner that best conforms to the spirit of these Official Rules; or (b) pay Referral Fees to those Participants that submitted eligible Referrals up to the time of the impairment. Sponsor reserves the right in its sole discretion to disqualify any Participant it finds to be tampering with the submission process or the operation of the Promotion or to be acting in violation of these Official Rules or in a disruptive manner. Any attempt by to undermine the legitimate operation of the Promotion may be a violation of criminal and civil law, and, should such an attempt be made, Sponsor reserves the right to seek damages from any such Participant to the fullest extent permitted by law. Sponsor’s failure to enforce any term of these Official Rules shall not constitute a waiver of that provision.

 

1. INDEMNIFICATION; LIABILITY:  By participating in the Promotion, each Participant agrees to release, discharge, indemnify, and hold harmless Sponsor, its affiliates and subsidiaries from and against any and all claims, demands, liability, damages or causes of action (however named or described) losses, costs or expenses, with respect to or arising out of or related to Participant’s participation in the Promotion. Each Participant assumes all liability for any injury or damage caused, or claimed to be caused, by participation in this Promotion or receipt of (or failure to receive) any Referral Fee.

 

1. GOVERNING LAW: The Promotion and these Official Rules are governed by and shall be construed in accordance with the laws of the State of Illinois, without regard to the principles of conflicts of laws.  All disputes shall be resolved exclusively in the state or federal courts in the state of Illinois, and Participant expressly consents to the jurisdiction of said courts and waives any objection thereto. All applicable federal, state and local laws and regulations apply.

 

1. ADDITIONAL RULES: Any Referral Form submitted by Participant that has been tampered with or altered is void. No responsibility is assumed for: (i) lost, late, misdirected, damaged, garbled, incomplete or illegible Referral Forms, all of which are void; (ii) error, omission, interruption, deletion, defect, delay in operations or transmission, theft or destruction or unauthorized access to or alterations of entry materials, or for technical, network, telephone equipment, electronic, mobile device, computer, hardware or software malfunctions of any kind, or inaccurate transmission of or failure to receive Referral Form information by Sponsor on account of technical problems; or (iii) any injury or damage to Participant’s or any other person’s mobile device or computer related to or resulting from participating in the Promotion. The date and time of receipt of Referral Forms shall be determined by the official clock on Sponsor’s website. Submitted materials become the sole property of Sponsor and will not be acknowledged or returned. Sponsor reserves the right to suspend, modify or terminate the Promotion if Sponsor believes, in its sole discretion, that malfunction, error, disruption or damage is impairing or will impair the administration, security, fairness, integrity or proper conduct of the Promotion. If the Promotion is terminated before the end date, Sponsor will pay Referral Fees to those Participants that submitted eligible Referrals up to the termination date.

 

In the event there is a discrepancy or inconsistency between disclosures or other statements contained in any Promotion-related materials, privacy policy or terms of use on the Sponsor’s website and/or the terms and conditions of the Official Rules, the Official Rules shall prevail, govern and control, and the discrepancy will be resolved in Sponsor’s sole discretion. In the event that any provision of the Official Rules is determined to be invalid or otherwise unenforceable or illegal, the other provisions will remain in effect and will be construed in accordance with their terms as if the invalid or illegal provision were not contained here.

 

ANY ATTEMPT TO DELIBERATELY DAMAGE THE SPONSOR’S WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THIS PROMOTION MAY BE IN VIOLATION OF CRIMINAL AND CIVIL LAWS. SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK REMEDIES AND DAMAGES (INCLUDING ATTORNEYS’ FEES) TO THE FULLEST EXTENT OF THE LAW.

11. RELEASE OF LIABILITY: By participating in the Promotion, each Participant releases and holds harmless the Sponsor, and its parent companies, subsidiaries, affiliates, partners, employees, directors, agents, and all others associated with the development and execution of this Promotion from any and against any and all injury, loss or damage caused or claimed to be caused by Participant’s participation in the Promotion and/or the acceptance and/or receipt of (or failure to receive) any Referral Fees, and Participant agrees that these entities are not responsible for any warranty, representation, or guarantee, expressed or implied, in fact, or in law, relating to the Promotion and/or the payment of any Referral Fees except as expressly providing in these Official Rules. By participating in the Promotion, each Participant agrees that: (a) any and all disputes, claims, and causes of action arising out of or in connection with the Promotion or any Referral Fees, shall be resolved individually without resort to any form of class action; (b) any claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with participating in the Promotion, but in no event attorney’s fees; and (c) under no circumstances will any Participant be permitted to obtain any award for, and Participant hereby waives all rights to claim punitive, incidental or consequential damages and any and all rights to have damages multiplied or otherwise increased and any other damages, other than damages for actual out-of-pocket expenses.  Because some states do not allow the exclusion and/or limitation of liability for consequential or incidental damages, in such states, Sponsor’s liability is limited to the maximum extent permitted by law.

12. PRIVACY AND PUBLICITY: Personal information submitted by Participants in connection with the Promotion will be collected, used and disclosed only for the purpose of administering the Promotion, or as Participants otherwise expressly consent to or as required by law. Personal information may be stored on servers in the United States and/or Canada and therefore may be subject to the laws and authority of other jurisdictions. By participating in the Promotion, Participant consents to such collection, use and disclosure.

13. OPT-OUT FROM PROMOTION: After completing the participation steps, Participants that wish to be removed from the Promotion and decline the opportunity to receive Referral Fees can indicate such removal on the provided form.  [

14. NO ENDORSEMENT:  This Promotion is in no way sponsored, endorsed or administered by, or associated with Facebook, X (Twitter), Instagram, Snapchat, YouTube, Pinterest, LinkedIn or Google. Participant understands that it is providing your information to the Sponsor and Administrator of this Promotion and not to Facebook, X, Instagram, Snapchat, YouTube, Pinterest, LinkedIn or Google.
